These Website Terms of Use ("Terms") govern your access to and use of the Lasso website at onelasso.com and any related pages, content, and services made available by SubHub Apps, Inc., doing business as Lasso Technologies, Inc. ("Lasso," "we," or "us"), including our AI connector integrations described in Section 7 below.

These Terms apply to anyone who visits or uses this website -- whether or not you have a Lasso account. If you are a paying customer using the Lasso platform, your use is additionally governed by our Client Terms of Service. If you are a partner participating in a program through the Lasso platform, your use is additionally governed by our Partner Terms of Service. In each case, those agreements take precedence over these Terms with respect to the subject matter they cover.

By accessing or using this website, you agree to be bound by these Terms. If you do not agree, please do not use this website.

We may update these Terms from time to time. When we do, we will update the "Last Updated" date above. Your continued use of the website after any change constitutes your acceptance of the revised Terms.

Section 4 - Intellectual Property

The website and all of its content -- including text, graphics, logos, icons, images, software, and other materials ("Materials") -- are owned by or licensed to Lasso and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Materials beyond the limited right to access and use this website as permitted by these Terms.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Materials without our prior written consent, except that you may:

• print or download a single copy of individual pages for your personal, non-commercial reference; and

• share links to pages on this website via social media or other public channels, provided you do not misrepresent their content or source.

Lasso, the Lasso logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Lasso Technologies, Inc. You may not use these without our prior written permission.

Section 5 - Third-Party Links and Services

This website may contain links to third-party websites or reference third-party services. These links are provided for convenience only. Lasso does not endorse, control, or assume responsibility for the content, privacy practices, or availability of any third-party website or service. Your access to and use of any third-party website or service is at your own risk and subject to that third party's own terms and policies.

Your use of this website is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please read it carefully. It describes how we collect, use, and share information about you when you visit our website or use our services.

If you are located in the European Economic Area or otherwise subject to the EU General Data Protection Regulation, our collection and use of personal information is also subject to our Data Processing Addendum.

Section 7 - AI Connector Integrations (MCP)

Lasso makes its platform available through AI connector integrations, including connectors listed on third-party AI assistant marketplaces such as Claude (by Anthropic) and ChatGPT (by OpenAI) (each, an "AI Connector"). This section governs your use of any such connector.

7.1 What AI Connectors Do

AI Connectors allow you to access and interact with your Lasso account data and workflows through a compatible AI assistant. Depending on your role and permissions within Lasso, this may include reading pipeline and partner data, submitting referrals, reviewing commission and payment information, and updating lead status. Every action taken through an AI Connector is subject to your existing Lasso permissions -- you can only access and act on data you are already authorized to access within the Lasso platform.

7.2 Authentication and Access

AI Connectors use OAuth 2.0 to authenticate your identity. You authorize the connection during setup through a standard sign-in flow using your existing Lasso credentials. No API keys are shared with the AI assistant or the third-party platform operating it. You may revoke access at any time from within your Lasso account settings or from the settings of the relevant AI assistant.

7.3 Data Handling

When you use an AI Connector, your requests and the data returned by the Lasso platform are processed by both Lasso and the third-party AI platform you are using (for example, Anthropic or OpenAI). Lasso's handling of your data is governed by our Privacy Policy and, where applicable, our Data Processing Addendum. The third-party AI platform's handling of your data is governed by that platform's own privacy policy and terms of service, which you should review before connecting.

Lasso does not store the content of your conversations with an AI assistant. Lasso only processes the API requests made by the AI assistant on your behalf as a result of those conversations, in the same way it would process any other authenticated API request.

7.4 Accuracy and Reliance

AI Connectors translate natural language requests into structured actions against the Lasso platform. While we work to ensure the connector behaves predictably, AI-generated interpretations of your requests may not always match your intent. You are responsible for reviewing any output or action before relying on it. Lasso is not responsible for errors, omissions, or unintended actions resulting from how an AI assistant interprets or executes a request.

7.5 Permitted Use

You may only use an AI Connector in accordance with these Terms, your applicable Lasso agreement (Client Terms or Partner Terms), and the terms of service of the AI platform through which you are accessing the connector. You may not use an AI Connector to circumvent any access control, permission boundary, or usage limitation that applies to your Lasso account.

7.6 Third-Party AI Platforms

Lasso is not affiliated with, endorsed by, or responsible for Anthropic, OpenAI, or any other third-party AI platform. Listing on a third-party AI marketplace does not imply any partnership, warranty, or guarantee by that platform regarding Lasso's services.

Section 8 - Disclaimers

THIS WEBSITE AND ALL CONTENT AND MATERIALS AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND ON AN "AS AVAILABLE" BASIS. LASSO DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. LASSO DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

NOTHING ON THIS WEBSITE CONSTITUTES LEGAL, FINANCIAL, OR PROFESSIONAL ADVICE. YOU SHOULD NOT RELY ON ANY CONTENT ON THIS WEBSITE AS A SUBSTITUTE FOR PROFESSIONAL ADVICE APPROPRIATE TO YOUR SPECIFIC CIRCUMSTANCES.

TO THE FULLEST EXTENT PERMITTED BY LAW, LASSO'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THIS WEBSITE IS LIMITED TO ONE HUNDRED DOLLARS ($100).

Section 10 - Indemnification

You agree to defend, indemnify, and hold harmless Lasso and its officers, directors, employees, affiliates, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of this website.

Section 11 - Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of this website that cannot be resolved informally will be resolved by confidential, binding arbitration conducted in English in Los Angeles County, California, administered by the American Arbitration Association ("AAA") in accordance with its then-current Commercial Arbitration Rules before a sole arbitrator. The arbitrator's award will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Nothing in this Section prevents either party from seeking equitable or injunctive relief from a court of competent jurisdiction.

Section 12 - General

Entire Agreement. These Terms, together with our Privacy Policy and any other agreements incorporated by reference, constitute the entire agreement between you and Lasso with respect to your use of this website.

Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be given effect to the greatest extent possible and the remaining provisions will remain in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment. You may not assign or transfer any rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms at any time without notice.

Electronic Communications. By using this website, you consent to receiving electronic communications from us in accordance with our Privacy Policy.

International Use. This website is hosted in the United States. We make no representation that it is appropriate or available for use in other jurisdictions. Access from jurisdictions where such access is prohibited by applicable law is not permitted.
